Platform Terms

These Platform Terms apply to your subscription to and operational use of RestaurantGPT. They sit alongside our Website Terms, Privacy Policy, Disclaimer, and (if you participate) the Restaurant Participation Agreement.

1. Scope of these terms

These Platform Terms govern your subscription to and operational use of the RestaurantGPT platform (the "Platform") — including the dashboard, online ordering, 24/7 receptionist, automated marketing, and any related APIs. These terms are in addition to our Website Terms (which cover general site use) and our Restaurant Participation Agreement (which covers any marketplace or co-marketing programs you join).

2. Subscription, plans, and renewal

You select a plan when you sign up. Subscriptions auto-renew at the then-current price for the same term length unless you cancel before the renewal date from your dashboard or by contacting support. Mid-term plan upgrades take effect immediately and are prorated; downgrades take effect at the next renewal.

3. Per-order fees and processing

On plans that include direct online ordering, per-order fees and payment-processing fees are deducted from payouts via Stripe Connect at the rates documented in your order confirmation. Payouts are issued on the schedule configured in your Stripe Connect account, typically every 1–2 business days, and are subject to Stripe's holds and reserves.

4. Account, access, and security

You are responsible for maintaining the security of your account credentials, restricting access to authorized staff, and immediately revoking access for staff who leave. You must notify us at security@restaurantgpt.xyz of suspected unauthorized access. We may suspend access to investigate suspected compromise.

5. Acceptable use

You will not, and will not permit anyone to: (a) use the Platform to violate law or any third-party right; (b) send unsolicited marketing or violate CAN-SPAM, TCPA, GDPR, or local consent laws when using marketing tools; (c) circumvent rate limits, scrape, or reverse-engineer the Platform; (d) introduce malware; or (e) use the Platform to compete with us by building a substantially similar product.

6. Customer data and ownership

You retain ownership of your customer data, menu data, brand assets, and order history ("Customer Data"). You grant us a limited license to host, process, and operate on Customer Data to provide the Platform. End diners are your customers — we act as a processor on your behalf for that data and surface processor obligations in our Privacy Policy.

7. AI features and outputs

Where the Platform uses generative AI to draft websites, menu copy, marketing campaigns, or receptionist responses, you are responsible for reviewing AI-generated outputs before they are sent to customers. We do not warrant the accuracy of AI-generated content. We may use de-identified, aggregated metadata about AI usage to improve the Platform; we do not train foundation models on your raw Customer Data.

8. Third-party integrations

The Platform integrates with third-party services (Stripe, Uber Direct, Deliverect, Google, OpenAI, Anthropic, and others). Your use of those integrations is subject to their terms. We are not responsible for outages, billing changes, or feature changes by third parties — though we will make reasonable efforts to notify you and provide alternatives.

9. Service levels and support

We target 99.9% monthly uptime for core ordering and receptionist surfaces. Scheduled maintenance is announced in the dashboard. Support is provided via email and in-app chat; response-time targets depend on your plan. Outages, postmortems, and known issues are published at status.restaurantgpt.xyz when applicable.

10. Suspension and termination

You may cancel anytime; cancellation stops auto-renewal and ends paid features at the end of the current term. We may suspend or terminate accounts for nonpayment, material breach, or activity that exposes the Platform to legal or security risk. On termination, you may export Customer Data for at least 30 days before deletion.

11. Confidentiality

Each party will protect the other's non-public business information using at least the same degree of care it uses for its own confidential information, and only disclose it to people who need to know. This obligation survives termination.

12. Warranties and disclaimers

We warrant that we will provide the Platform with reasonable skill and care. EXCEPT FOR THAT WARRANTY, THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR LOST-PROFITS DAMAGES.

14. Indemnification

You will defend and indemnify RestaurantGPT against third-party claims arising from your Customer Data, your use of the Platform in violation of these terms, or your products and services sold through the Platform. We will defend and indemnify you against third-party claims that the Platform itself infringes a US patent, copyright, or trademark.

15. Governing law and disputes

These terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. The parties will first attempt informal resolution. Unresolved disputes will be resolved in the state or federal courts located in San Francisco County, California, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Changes to these terms

We may update these Platform Terms. Material changes will be announced via email to active customers and via a notice in the dashboard at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
